If you do not agree with any part of these Terms, you must not access or use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

2. Description of Service

Hey Drew is an AI-powered tax and bookkeeping software-as-a-service (SaaS) platform designed to help individuals, freelancers, and small business owners manage their financial records, categorize transactions, and obtain answers to tax-related questions. The Service utilizes artificial intelligence to provide automated insights and recommendations. Hey Drew does not provide certified tax advice, legal advice, or certified public accounting services, and should not be considered a substitute for professional financial counsel.

3. Eligibility

You must be at least eighteen (18) years of age and a resident of the United States to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

4. Account Registration

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

5. SMS Terms

By opting in to receive SMS messages from Hey Drew, you expressly consent to receive recurring text messages from us at the mobile phone number you provided. These messages may include, but are not limited to, account notifications, service updates, promotional offers, and other communications related to Hey Drew's services.

  • Consent: Your consent to receive SMS messages is not a condition of purchasing any goods or services from Hey Drew.
  • Message Frequency: Message frequency varies based on your account activity and our communications schedule.
  • Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan. You are responsible for any charges incurred from your mobile carrier.
  • Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a one-time confirmation message, and no further SMS messages will be sent unless you re-subscribe.
  • Help: For assistance with SMS messages, reply HELP to any message or contact us at support@heydrew.com.
  • Supported Carriers: The Service is compatible with most major US mobile carriers. Hey Drew is not responsible for delayed or undelivered messages due to carrier issues.

6. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited uses include, but are not limited to:

  • Attempting to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
  • Using the Service to transmit any viruses, worms, defects, or other items of a destructive nature.
  • Using automated tools, bots, or scripts to access the Service without our express written permission.
  • Interfering with or disrupting the integrity or performance of the Service.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Using the Service to commit fraud or engage in any illegal activities.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of Hey Drew or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from the Service without our prior written consent.

8. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. HEY DREW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEY DREW, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless Hey Drew and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or (d) any claim that your use of the Service caused damage to a third party.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Florida, and you hereby consent to the personal jurisdiction and venue of such courts.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
